DECISION No. ___________ / MINEE- MEH /DPC OF _______________ ON THE PROVISIONAL AWARD OF THE PROJECT TO CARRY OUT STUDIES, THE CONSTRUCTION AND OPERATION IN "BUILD, OPERATE AND TRANSFER" (B.O.T) MODE OF THE CHOLLET HYDROPOWER DEVELOPMENT AND ASSOCIATED POWER LINES, FOLLOWING THE INTERNATIONAL RESTRICTED INVITATION TO TENDER

THE MINISTER OF WATER AND ENERGY OF THE REPUBLIC OF CAMEROON

AND

THE MINISTER OF ENERGY AND HYDRAULICS OF THE REPUBLIC OF CONGO

Mindful of the Memorandum of Understanding signed in Brazzaville on 28 October 2010, between the Government of the Republic of Cameroon and the Government of the Republic of Congo, for the construction of the Chollet hydropower plant and associated power lines;

Mindful of the Memorandum of Understanding relating to the organisation and functioning of the Inter-State Steering Committee for the Chollet hydropower development project and associated power lines, signed on 7 March 2015, between the Government of the Republic of Cameroon and the Government of the Republic of Congo;

Mindful of the Joint Decision signed on 27 September 2015 in Yaounde, appointing the Director and Deputy Director of the project for the construction of the Chollet hydropower plant and associated power lines;

Mindful of the report of the Inter-State Steering Committee meeting held in Yaoundé on 26 and 27 December 2016;

Mindful of the decision taken by the Interstate Steering Committee to set up a restricted team in charge of the maturation of the Chollet Project, subject of the Final Communiqué of 28 February 2019;

Mindful of the report of the Inter-State Steering Committee meeting held in Yaoundé on 1 August 2019;

Mindful of memorandum No. 009/MEH-CAB of 28 August 2020 setting up the Sub-Committee in charge of carrying out the analysis of bids from the bidding companies;

Considering the validation of the Bid Analysis Sub-Committee's report by the project's Inter-State Steering Committee on 22 October 2020 in Yaoundé;

# HEREBY DECIDE

Article 1: This decision provisionally awards the project to carry out the Studies, Construction and Operation in "Build, Operate and Transfer" (B.O.T) mode for the Chollet hydropower development and associated power lines, in accordance with the Restricted International Invitation to Tender No. 00000008/19/AOIR/MINEE-MEH/DPC of 19 December 2019.

Article 3: The costs and duration referred to in Article 2 above may be adjusted during the negotiations of the Project Agreement and subsequent stages between the Ministers in charge of Energy of the two countries and the company CHINA GEZHOUBA GROUP COMPANY Ltd (CGGC), provisional successful bidder for the project.

Article 4: The project thus provisionally awarded consists of two (02) lots, each of which is divided into several components, as follows:

Lot 1: Hydroelectric development

• Component 1: Dam, power station and related works;
• Component 2: Construction of access roads to the site in both countries;
• Component 4: Environmental and social management;
• Component 5: Capacity building and skills transfer.
