DECREE No. ______________ OF ______________ to approve the Articles of Association of the Cameroon National Shippers’ Council
# THE PRESIDENT OF THE REPUBLIC,
Mindful of the Constitution;
Mindful of the OHADA Uniform Act on Commercial Companies and Economic Interest Groups;
Mindful of Law No. 2017/011 of 12 July 2017 to lay down the general rules and regulations governing public corporations;
Mindful of Law No. 2018/012 of 11 July 2018 relating to the fiscal regime of the State and other public entities;
Mindful of Decree No. 2011/408 of 11 December 2011 to organize the Government, as amended and supplemented by Decree No. 2018/190 of 2 March 2018;
Mindful of Decree No. 2012/250 of 1 June 2012 to organize the Ministry of Transport;
Mindful of Decree No. 2018/355 of 12 June 2018 to lay down common rules applicable to contracts awarded by public corporations;
Mindful of Decree No. 002255/1331 of 18 JUIL 2025 to transform and reorganize the Cameroon National Shippers’ Council,
# HEREBY DECREES AS FOLLOWS:
ARTICLE 1: The Articles of Association of the Cameroon National Shippers’ Council, abbreviated as “CNSC” are approved as appended to this decree.
ARTICLE 2: This decree shall be registered, published according to the procedure of urgency and inserted in the Official Gazette in English and French.

# ARTICLES OF ASSOCIATION OF THE CAMEROON NATIONAL SHIPPERS' COUNCIL (CNSC)
CHAPTER I NAME – FORM – PURPOSE – HEAD OFFICE – DURATION – SUPERVISORY AUTHORITY
I. CORPORATE NAME
ARTICLE 1: The present Articles of Association shall regulate the Cameroon National Shippers’ Council, abbreviated and hereinafter referred to as “CNSC”.
II. FORM OF THE CNSC
ARTICLE 2: (1) The CNSC shall be a public corporation, with the State as sole shareholder, and shall operate in the form of a public limited company (PLC).
(2) It shall be governed by the provisions of:
- laws and regulations in force;
- the OHADA Uniform Act on Commercial Companies and Economic Interest Groups;
- Law No. 2017/011 of 12 July 2017 to lay down the general rules and regulations governing public corporations;
- Law No. 2018/012 of 11 July 2018 relating to the fiscal regime of the State and other public entities;
- Decree No. 2018/355 of 12 June 2018 to lay down common rules applicable to the contracts of public enterprises;
- Decree No. 5/3/15 / of 16 JUN 2025 to transform and reorganize the Cameroon National Shippers’ Council;
- the present Articles of Association.
(3) Instruments and documents issued by the CNSC to third parties, in particular letters, bills, announcements and various publications, shall indicate the corporate name, preceded or followed immediately and legibly by the words “Public Limited Company” or the initials “PLC” and the indication of the amount of the registered capital, as well as the place and registration number of the corporation in the Trade and Personal Property Credit Register, where applicable.
