to approve the Articles of Association of the Cameroon Electricity Corporation (SOCADEL).-
# THE PRESIDENT OF THE REPUBLIC,
Mindful of the Constitution;
Mindful of the revised OHADA Uniform Act relating to Commercial Companies and Economic Interest Groups, adopted in Ouagadougou, Burkina Faso on 30 January 2014;
Mindful of Law No. 2017/011 of 12 July 2017 to lay down the general rules and regulations governing public corporations;
Mindful of Decree No. 2011/408 of 9 December 2011 to organize the Government, as amended and supplemented by Decree No. 2018/190 of 2 March 2018;
Mindful of Decree No. 2026/163 of 04 MAI 2026 to transform "Energy of Cameroon" into a State-owned corporation,
# HEREBY DECREES AS FOLLOWS:
ARTICLE 1: The appended Articles of Association of the Cameroon Electricity Corporation are approved.
ARTICLE 2: This decree shall be published according to the procedure of urgency and inserted in the Official Gazette in English and French.

Article 1
Corporate Form
The Cameroon National Electricity Corporation (SONEL) was incorporated on 18 May 1974 as a public limited liability company (“Corporation”).
In accordance with the provisions of Ordinance No. 90/004 of 22 June 1990 relating to the privatization of public and semi-public enterprises, the Republic of Cameroon, hereinafter referred as the “State”, decided to include the Corporation on the list of companies to be privatized and to open up its capital through a capital increase and the transfer of shares.
On 18 July 2001, Cameroon Power Holdings S.A. (formerly AES Cameroon Holdings S.A.) subscribed for 1 300 369 shares in the Corporation within the framework of its capital increase. On the same day, Cameroon Power Holdings S.A. (formerly AES Cameroon Holdings S.A.) acquired 1 068 207 shares in the Corporation.
On 17 February 2026, the State of Cameroon acquired all the shares held by Cameroon Power Holdings S.A. in ENEO’s share capital.
Pursuant to Decree No. 2026/163 of “ENEO CAMEROON S.A.” is hereby transformed to a public limited company, with the State as sole shareholder.
The Corporation is governed by the laws in force in the Republic of Cameroon, in particular the Uniform Act relating to Commercial Companies and Economic Interest Groups of 30 January 2014 and Law No. 2017/011 of 12 July 2017 to lay down the general rules and regulations governing public corporations.
Article 2: Name
2.1 The Corporation, formerly known as “Energy of Cameroon”, abbreviated to “ENEO Cameroon” or “ENEO”, shall henceforth be called Cameroon Electricity Corporation, abbreviated to “SOCADEL”, hereinafter referred to as “SOCADEL”.
